Terms of Service

These Terms of Service (the “Terms”) govern access to and use of MapsDoc’s website, dashboard and managed business-visibility services.

1. Provider

MapsDoc is provided by:

In these Terms, “MapsDoc,” “we,” “us,” and “our” refer to Daniel Effendy operating under the MapsDoc brand. “Customer,” “you,” and “your” refer to the business identified in the order.

2. Business customers only

MapsDoc is offered exclusively to businesses and independent professionals acting for commercial or professional purposes. We do not contract with consumers.

By requesting a Health Check, creating an account, accepting an order or purchasing a subscription, you represent that:

• you are acting solely for business or independent professional purposes;
• the information you provide about the Customer is accurate;
• you have authority to bind the Customer; and
• the Customer is legally capable of entering into the agreement.

We may request reasonable evidence of business status or authority and may reject or cancel an order where these requirements are not met.

3. Agreement and order of precedence

The agreement consists of, in descending order of priority:

1. a signed order form or statement of work;
2. the checkout or order confirmation;
3. the plan description displayed when the order was placed;
4. the Data Processing Addendum, where applicable;
5. these Terms; and
6. the Acceptable Use Policy.

Customer purchase terms or other standard terms do not apply unless we expressly accept them in writing.

4. Services

MapsDoc provides managed business-visibility services. Depending on the purchased plan or statement of work, services may include Google Business Profile and Google Maps care, local-search optimization, business-listing and citation work, content and media creation, review and reputation workflows, link-building, website or profile updates, visibility monitoring, reporting, competitor and service-area analysis, and visibility analysis across search engines, maps, directories and AI-assisted discovery platforms.

Essential Visibility Care is managed by your MapsDoc Visibility Team and includes citation creation, correction and ongoing synchronization. Professional Visibility Care includes a dedicated Visibility Manager and a Monthly Visibility Review. Custom Visibility Care is defined in a separately signed order form or statement of work and may include website, multi-location or other individually scoped services.

The exact inclusions, frequency, supported locations and any add-ons are those stated in your order. A dedicated Visibility Manager provides accountable oversight but need not personally perform every operational task. We may reassign personnel where reasonably necessary without reducing the agreed service.

We may use employees, contractors, automation, artificial-intelligence tools and specialist service providers. MapsDoc remains responsible for its contractual obligations.

5. Service commencement and cooperation

Service begins after we accept the order, receive required payment and obtain the access, information and approvals reasonably needed to start. Any onboarding review or manager assignment is part of service commencement and is not an acceptance contingency unless expressly stated in the order.

For Professional Visibility Care, we aim to assign a Visibility Manager within five business days after receiving the information and access required for onboarding. This is an operational target, not a guaranteed service level. If assignment is delayed, your MapsDoc Visibility Team remains responsible for onboarding and service continuity.

You must provide timely, complete and accurate information, permissions, credentials, approvals and responses. Delays, omissions or restrictions caused by you may delay or limit performance without entitling you to a refund. We may pause affected work until the dependency is resolved.

6. Customer authority and materials

You authorize MapsDoc and its approved providers to access and manage the business profiles, websites, listings, channels and materials included in the order. You represent that you have all rights and authority required for that access and for any text, claims, trademarks, images, videos, contact data and other materials you supply.

You are responsible for the accuracy and legality of your business facts, services, prices, offers, licenses, qualifications, regulated claims and customer data. You must promptly tell us when they change.

Do not provide patient records, health data, payment-card details, government identifiers, criminal-offence data or other sensitive information unless we have expressly agreed in writing to receive it and appropriate safeguards are in place.

7. Content, reviews and communications

MapsDoc may prepare, edit, schedule or publish content, images, videos, listing information and review responses according to your plan and approval settings. Automation and AI may assist this work under human-defined workflows. Automated output can require correction or additional business context.

Where you authorize automatic publication, you authorize routine materials to be published without individual approval. We may withhold, correct or remove material that we reasonably believe is false, unlawful, infringing, unsafe, platform-prohibited or materially harmful.

You must not use the services to fabricate, purchase, gate, manipulate or improperly incentivize reviews. You are responsible for having a lawful basis and required consent for any customer list or outreach workflow you ask us to use. MapsDoc does not guarantee that a platform will publish, retain, remove or suppress a review.

8. Third-party platforms and providers

The services rely on third-party platforms and infrastructure. Those parties control their algorithms, policies, moderation, availability, interfaces and data. They may change, reject, delay, suspend, remove or discontinue functionality outside our control.

You must comply with applicable third-party terms. We will not knowingly circumvent platform restrictions. If a platform change materially affects a service component, we may use a reasonably equivalent method, adjust the workflow or discontinue the affected component. If no reasonable substitute exists and the change materially reduces the overall paid service, we will provide an appropriate prospective adjustment or termination right.

9. No guaranteed market outcome

MapsDoc commits to performing the agreed work with reasonable professional care and skill. We do not guarantee any particular ranking, placement, citation, indexing, review removal, lead volume, traffic, booking, sale, revenue, Visibility Score movement or recommendation by a search engine, map, directory, AI system or other third party.

Results depend on factors outside our control, including competition, geography, demand, your operations, website quality, reputation and platform changes. Forecasts, samples and past results are illustrative and not promises.

10. Fees, taxes and payment

Fees, currency, billing interval and plan are shown before purchase and in the order confirmation. Unless expressly stated otherwise, prices exclude VAT, GST, sales tax, withholding tax and similar charges.

Subscriptions are charged monthly in advance through the identified payment provider. You authorize recurring charges until cancellation takes effect and must maintain a valid payment method. Where law requires you to withhold tax, you must provide official evidence and, unless prohibited by law, pay any additional amount necessary for MapsDoc to receive the invoiced net fee.

If payment is overdue, we may retry collection and, after reasonable notice, restrict or suspend the affected services. You remain responsible for undisputed accrued charges and reasonable chargeback costs caused by an improper chargeback.

11. Renewal, cancellation and refunds

Subscriptions renew for successive monthly billing periods until canceled. You may cancel through Billing or by emailing hello@mapsdoc.com. Cancellation takes effect at the end of the current paid billing period, and service continues until then.

Fees for a billing period that has begun are non-refundable and are not prorated. We do not provide refunds merely because you did not use the service, delayed providing access or changed your business priorities.

This rule does not limit any non-waivable right or remedy. We will correct duplicate or erroneous charges. If MapsDoc materially fails to provide the agreed service, you must notify us with sufficient detail and allow a reasonable opportunity to cure or re-perform where appropriate. Any refund, fee reduction or termination remedy will then be determined under the agreement and applicable law.

Any discretionary credit or refund is a one-time commercial accommodation and does not create an ongoing entitlement.

12. Termination and suspension

Either party may terminate for material breach if the breaching party fails to cure within a reasonable period after written notice, unless immediate termination is justified. MapsDoc may suspend or terminate immediately for fraud, unlawful activity, abusive conduct, security risk, unauthorized profile management, platform manipulation, serious non-payment or conduct likely to harm a customer, third party, platform or MapsDoc.

We will limit a suspension to what is reasonably necessary and give notice where practicable.

Upon termination, your right to use the dashboard ends. Accrued payment obligations and provisions intended by their nature to survive remain effective. You should export materials made available for export before account closure.

13. Intellectual property

Each party retains its pre-existing intellectual property. You grant MapsDoc a non-exclusive, worldwide, royalty-free license during the agreement to host, use, reproduce, adapt and publish your materials only as reasonably necessary to perform, secure and document the services.

After full payment, you receive a perpetual, worldwide, non-exclusive license to use final customer-specific deliverables delivered to you for your business. MapsDoc retains its software, templates, methods, prompts, workflows, scoring systems, report structures, generic components, tools and know-how. Third-party material remains subject to its applicable license.

You may provide feedback, which we may use without restriction provided we do not disclose your confidential information.

14. Confidentiality

Each party must protect the other party’s non-public business, technical, customer, pricing, security and operational information, use it only for the agreement and disclose it only to persons who need it and are bound to protect it.

This obligation does not cover information that is public without breach, already lawfully known, independently developed or lawfully received from another source. Required disclosures are permitted, with advance notice where legally allowed. Trade-secret duties continue while information remains a trade secret; other confidentiality duties continue for three years after termination.

15. Data protection

Each party will comply with privacy and data-protection laws applicable to its activities. Our Privacy Policy describes processing for which MapsDoc determines the purposes and means.

Where MapsDoc processes personal data on your documented instructions, the MapsDoc Data Processing Addendum applies. You are responsible for your legal basis, notices, customer requests, instructions and lawful transfer of data to MapsDoc.

16. Warranties and remedies

MapsDoc will perform the services with reasonable professional care and skill. You must report a material, reproducible deficiency without undue delay and provide reasonable cooperation. We may cure by correction, re-performance, replacement or another reasonable method.

Except for express obligations in the agreement and to the maximum extent permitted by law, services are provided without implied guarantees of uninterrupted availability, fitness for a particular commercial result or compatibility with every third-party change.

17. Liability

Nothing in these Terms excludes or limits liability for intent, gross negligence, death or personal injury, fraud, an expressly assumed guarantee, or liability that cannot lawfully be excluded or limited.

For simple negligence, MapsDoc is liable only for breach of a material contractual duty whose performance is essential to the agreement and on which the Customer may reasonably rely. In that case, liability is limited to the foreseeable loss typical for this agreement.

Subject to the preceding paragraph, MapsDoc is not liable for indirect or consequential loss, lost profit, lost anticipated savings, loss arising solely from third-party platform changes, or loss of data that reasonable customer backups would have prevented.

Except for liability that is unlimited under the first paragraph of this Section, MapsDoc’s aggregate liability arising from or relating to the agreement is limited to the fees paid or payable by the Customer for the affected services during the 12 months immediately preceding the event giving rise to the claim. Where the agreement has existed for less than 12 months, the cap is the fees paid or payable during that shorter period. The cap does not reduce liability below an amount required by mandatory law.

The Customer must take reasonable steps to mitigate loss. This section does not alter any mandatory rights under the applicable country schedule or law.

18. Customer indemnity

To the extent permitted by law, you will indemnify MapsDoc against third-party claims and reasonable defense costs arising from your materials, false business claims, unlawful instructions, missing rights or consents, infringement, unlawful outreach, manipulated reviews or breach of Sections 5–7, except to the extent caused by MapsDoc.

We will promptly notify you and reasonably cooperate. You may not settle in a way that admits fault by or imposes obligations on MapsDoc without our consent.

19. Changes

We may change the services where reasonably necessary for security, law, platform requirements or product improvement, provided we do not materially reduce the overall purchased service without a reasonable substitute or remedy.

Updated Terms apply to future orders. For an existing subscription, we will give reasonable advance notice of a material change. A change will not retroactively remove accrued rights, and any consent required by law will be obtained.

20. Notices, assignment and force majeure

Contract notices may be sent through the account or to the latest email address provided. You must keep that address current.

You may not assign the agreement without our prior written consent, not to be unreasonably withheld for a legitimate business transfer. We may use subcontractors and may assign the agreement with a transfer of the MapsDoc business, provided your material rights are not reduced.

Neither party is liable for delay caused by an event beyond its reasonable control, including widespread internet or platform failure, natural disaster, war, civil disorder, labor disruption, governmental action or major cyber incident, provided the affected party uses reasonable efforts to mitigate and resumes performance.

21. Governing law and disputes

German law governs the agreement, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods.

Before filing a claim, the parties will attempt in good faith for 30 days to resolve the dispute through business representatives. Urgent injunctive relief and collection of undisputed overdue fees are not subject to this waiting period.

Where legally permitted, the courts of Stuttgart, Germany have exclusive jurisdiction. MapsDoc may also bring a claim at the Customer’s general place of jurisdiction. Mandatory laws that cannot validly be excluded remain unaffected, including the country-specific rules identified in the International Country Schedule.

22. General terms

The agreement is the entire agreement concerning its subject matter and supersedes prior statements about that subject matter. If a provision is unenforceable, it will be limited or replaced only to the minimum extent necessary, and the remaining provisions stay effective. Failure to enforce a provision is not a waiver. Electronic acceptance and records are valid to the extent permitted by law.
